Mamma.com Inc. Acquires Copernic for $15.9 Million & 2.38 Million Common Shares.

("Copernic") have approved definitive purchase agreements to acquire 100% of the issued and outstanding securities of Copernic (the "Transaction"). Unless otherwise stated, all figures in this release are in US dollars.

The Company has agreed to acquire 100% of the issued and outstanding securities of Copernic, including an amount to cover Copernic's outstanding stock appreciation rights obligations, for $15,900,000 and the issuance of 2,380,000 common shares of the Company. Copernic had approximately $5.9 million of revenue and EBITDA (Earnings Before Interest, Taxes, Depreciation and Amortization) A metric used to show a company's profitability, but not its cash flow. EBITDA became popular in the 1980s to show the potential profitability of leveraged buyouts, but has become  of approximately $1.8 million in their fiscal year ended June 30, 2005. The Transaction closed today, December 22, 2005.
