MONSANTO COMPLETES PURCHASE OF ORTHO CONSUMER PRODUCTS

ST. LOUIS, May 14 /PRNewswire/ -- Monsanto Company (NYSE: MTC) announced today it has completed the purchase from Chevron Chemical Company of that firm's Ortho Consumer Products Division.
Monsanto said the purchase price for the business was approximately $400 million, including working capital. The purchase includes the Ortho line of residential fertilizers, pest control products and equipment, and gardening and do-it-yourself books. Ortho brand products are sold through a variety of retail outlets throughout the United States.
"The Ortho line of products fits well with Monsanto's lawn and garden business, which is comprised of Roundup herbicide, Greensweep brand lawn care products, and Polysect, a European insecticide," said Hendrik Verfaillie, vice president of Monsanto Company and president of the company's Agricultural Group.
Monsanto said the Ortho businesses will be merged with its Residential Products Division, which will relocate to the San Ramon, Calif. area where Ortho is located. The newly integrated division is named "The Solaris Group, A Division of Monsanto's Agricultural Group," and will continue to sell Ortho, Roundup and Greensweep branded products.
Ortho currently employs approximately 400 people; Monsanto's Residential Products Division employs 30. Monsanto plans to move about a dozen of its divisional work force to San Ramon, and also plans to offer employment to the large majority of Ortho's personnel.
"The purchase of Ortho allows Monsanto to expand its successful international lawn and garden products business into a wider range of products and services aimed at the consumer," said Jan Novak, vice president, The Solaris Group. "We expect to accelerate sales growth by combining the different strengths of the two industry leaders."
Manufacturing facilities producing Ortho products are located in Fort Madison, Iowa, and Maryland Heights, Mo. The purchase includes the assets of the Iowa plant; Chevron will maintain ownership of the Missouri facility, which will continue production under a toll arrangement.
Note: Ortho, Roundup and Greensweep are trademarks of Monsanto Company.
