 MERCHANTS RESTRUCTURES TOP MANAGEMENT
 INDIANAPOLIS, Nov. 29 /PRNewswire/ -- Merchants National Corporation


(NASDAQ: MCHN) announced today a restructuring of senior management. This restructuring is in conjunction with the transition for the merger of Merchants National Corporation with National City Corporation of Cleveland.
 James W. Magee has resigned as a member of the Merchants National Corporation board of directors and as a member of the board of directors of Merchants National Bank & Trust Company of Indianapolis. Magee will conclude his responsibilities as president of Merchants National Bank on Nov. 29, 1991 to pursue personal interests. In the interim, James D. Massey will assume the responsibilities of the president of Merchants National Bank.
 Massey, president of Merchants National Corporation and chairman of the board of Merchants National Bank & Trust Company, announced that he will retire from these positions at the conclusion of the consummation of the merger of Merchants National Corporation with National City Corporation. It is expected that this merger transaction will be completed before June 30, 1992.
 Otto N. Frenzel III will continue as chairman of the board of Merchants National Corporation.
 Merchants National Corporation and National City Corporation also announced formation of the Transition Steering Committee to assure effective management and oversight of the integration process for the merger of Merchants with National City. The Transition Steering Committee will have authority for major integration decisions in the areas of organization, consolidation and communication. The Steering Committee will report to David A. Daberko, deputy chairman of National City Corporation. Members of the Transition Steering Committee will be announced in the near future.
