 MEDCROSS EVALUATING ALTERNATIVE PROPOSAL
 ST. PETERSBURG, Fla., Dec. 2 /PRNewswire/ -- Medcross, Inc.,


(OTC) announced today that the Company is no longer considering the transaction with Diagnostic Resources Funding (DRF) which was proposed to its board of directors in July, 1991.
 Robert M. Irvin, Medcross president, said, "Instead, the board is evaluating an alternative proposal which has been offered by the principals of DRF to exchange all of the outstanding shares of stock of another of their operating companies for shares of Medcross stock.
 Medcross is also conducting discussions with a number of other parties about possible investments in Medcross, Irvin said. He added that the objective of the Board of Directors is to enter into a transaction with an investor who will infuse additional capital into the company, thereby enabling Medcross to proceed with the development of diagnostic imaging acquisitions and ventures and allow the company to regain its NASDAQ listing.
