LICON INTERNATIONAL TO ACQUIRE ALVAL, EUROPEAN EVAPORATION AND PROCESS EQUIPMENT COMPANY

LICON INTERNATIONAL TO ACQUIRE ALVAL, EUROPEAN EVAPORATION
 AND PROCESS EQUIPMENT COMPANY
PENSACOLA, Fla., Jan. 7 /PRNewswire/ -- Licon International, Inc., announced today that it has agreed in principle and executed a letter- of-intent to acquire Alval Process Engineering, Ltd., located in the United Kingdom.
The companies expect to close the transaction by Jan. 31, 1991, subject to completion of final due diligence and preparation of definitive agreements to be approved by the boards of directors of the companies. The acquisition of Alval will be made for cash and common stock of Licon International, Inc. totalling $1,500,000 with additional common stock if Alval meets certain revenue and profit targets.
Robert Springer, chairman and chief executive officer of Licon International, Inc., said, "Our strategy from the beginning of Licon International has been to make it an international 'pure-water technology' company. Water pollution is everywhere; industrial waste- water ruins the quality of our life; manufacturers themselves have the need to treat, concentrate and separate liquids. These are worldwide problems and needs. Alval provides us with an opportunity to enter the international market with technology that complements Licon's own systems. About 80 percent of Alval's 1991 revenues of approximately US$4,000,000 are from outside the U.K. Alval fits our strategy, and also assists us in diversifying our product line."
Alval is headed by Albert Fleming, managing director of Alval Process Engineering and an international expert in evaporation technology and manufacture.
Fleming said, "Licon and Alval technologies fit together -- hand in glove. Licons and Alvals can be married; they can be sold alone. This equals more comprehensive results for our customers. Beyond the significant contribution of our technology and manufacturing experience, Alval will offer to Licon an experienced team of managers and scientists who have worked throughout the world. We estimate that Alval will add profits to Licon International's operations in 1992, which is happily the year when frontiers in the EEC are eliminated."
Alval manufactures and sells a broad line of evaporators and driers, including systems presently utilized in food, chemical, pharmaceutical and other industries requiring concentration, separation and purification. Alval's clients include British Petroleum, Imperial Chemical, Unilever, Scottish Malt Distillers, Ciba-Geigy, Beecham, Hercules Powder, and Schweppes, among others. Alval has a long history of evaporation technology and manufacturing expertise with roots reaching back to the 1800's through its predecessor company, Henry Balfour & Co.
In addition to its evaporator and driers, approximately 20 percent of Alval's business is in providing materials handling equipment for processing powders and solids. Alval also owns Alval OffShore, Ltd., which provides a variety of equipment to the petroleum industry. Alval OffShore is presently involved in the reconstruction of Piper Alpha in the North Sea.
Separately, Licon and Alval have announced recently that they will jointly develop a new and unique membrane-evaporator, the "Purevap," funded by the companies and the Scottish government. The Purevap purifies solvents, including ethanol and other alcohols.
Licon International, Inc. is a holding company formed to establish, acquire and manage companies in the water, waste-water and liquid process equipment and services sector.
