 LG&E ENERGY SYSTEMS ANNOUNCES ACQUISITION OF PARTNERSHIP
 INTEREST IN LEADING NATURAL GAS MARKETER
 LOUISVILLE, Ky., April 16 /PRNewswire/ -- LG&E Energy Corp. (NYSE: LGE) announced today that its wholly owned subsidiary, LG&E Energy Systems Inc., and an indirect wholly owned subsidiary of British Gas plc (NYSE: BRG) have each agreed to acquire a one-third general partnership interest in Natural Gas Clearinghouse (NGC).
 NGC, headquartered in Houston, is an industry leader in marketing, aggregating, processing and transporting natural gas and natural gas liquids.
 LG&E Energy Systems, through a newly created subsidiary, has agreed to pay approximately $52 million plus fees and expenses for its partnership interest. The partnership interests to be acquired are held by subsidiaries of Apache Corporation, Nobile Affiliates Inc. and DEKALB Energy Company, all of which are independent oil and gas companies. The remaining one-third ownership of NGC will continue to be held by its management. Completion of the acquisition is subject to regulatory approval and standard closing conditions.
 NGC is the largest independent natural gas marketing company in the United States. NGC's natural gas volumes exceed three billion cubic feet per day and liquids production exceeds 30,000 barrels per day. NGC owns and operates eight gas plants and more than 1,400 miles of gathering systems. The company also is involved in the marketing and trading of crude oil.
 The NGC transaction marks the second strategic acquisition by LG&E Energy Systems. Late last year, LG&E Energy Systems acquired Hadson Power Systems, Incorporated, of Irvine, Calif., a fully integrated developer, constructor, operator and owner of independent electric power plants and cogeneration facilities.
 "It is evident that continued federal deregulation and competitive market forces have been shaping the natural gas industry for some time," said Roger W. Hale, chairman and chief executive officer of LG&E Energy Corp. "In light of the Federal Energy Regulatory Commission's approval of the restructuring rule (Order 636 'Mega-NOPR') last week, NGC can now compete on a more equal footing with pipeline companies for direct gas sales to, and long-term contracts with, local distributors and industrial users."
 Edward J. Casey Jr., president of LG&E Energy Systems, emphasized that the partnership with NGC is consistent with LG&E Energy Corp.'s strategy to invest in profitable market segments and forge strategic partnerships within the energy-services industry.
 "Our partnership with NGC should create significant synergies with LG&E Power Systems and will allow us to provide attractive natural gas fuel arrangements to our independent power plants," said Casey. "In addition, the partnership with British Gas reflects LG&E Energy's goal to participate in the global energy-services market."
 As part of the agreement, NGC and Apache will extend their long- term gas marketing agreement for five years and enter into a crude oil marketing agreement. NGC also will enter into a three-year gas marketing agreement with Noble and acquire the 20 percent interest held by an affiliate of Noble in NGC's Arklatex processing plant and gathering facility.
 British Gas plc, headquartered in London, is the largest publicly quoted, integrated natural gas company in the world. The company operates or has investments on six continents and employs 85,000 people worldwide.
 LG&E Energy Systems, through subsidiaries nationwide, develops and operates businesses engaged in independent power production and other energy-related activities. Its parent, LG&E Energy Corp., also owns Louisville Gas and Electric Company (LG&E), a regulated utility supplying electricity and natural gas to metropolitan Louisville and surrounding areas in Central Kentucky.
