LET'S MAKE A DEAL: MOGUL TO GO PUBLIC WITH U.S. ASSETS.

Another day, another deal.

On the next to the last day of a month that has been vintage Rupert Murdoch, the Australian tycoon announced his News Corp. would sell up to 20 percent of its American entertainment and sports assets to the public. The publicly held shares of the new Fox Group would be worth around $4 billion, making it one of the largest such initial public offerings in U.S. history.

While Murdoch said the major motivation for the IPO (Initial Public Offering) The first time a company offers shares of stock to the public. While not a computer term per se, many founders, employees and insiders of computer companies have found this acronym more exciting than any tech term they ever heard.  is to persuade investors to assign more value to the conglomerate's U.S. assets, analysts believe the move also underscores the 67-year-old tycoon's commitment to outhustle rivals in the race to create the world's leading media operation.

``The global assets of this company have yet to be maximized,'' said Barry Hyman of Ehrenkrantz King Nussbaum. ``You can now expand them much more easily.''

Murdoch's goal, analysts believe, is to obtain more broadcast rights and programming assets. ``At some point, Murdoch will be able to turn all these sports holdings into a critical mass that will allow him a lot of leverage over distribution,'' said Los Angeles sports consultant David Carter. ``What slows him down are the rules against cross-ownership of teams, which makes his strategy look a little disjointed.''

 believes the benefits of creating the new stock are twofold. News Corp. will gain more respectability on Wall Street, and Murdoch will find it far easier to make more deals.

``What I think he'll do with the money is use it to become the dominant force in American sports,'' Bonham said. ``He'll try to control as many franchises, facilities and networks as the rules and regulations will allow.''

If that sounds far-fetched, consider that during this year, News Corp. has agreed to pay $550 million annually to keep broadcasting pro football; closed the Dodgers deal; agreed to own parts of the Lakers, Kings and Staples Center; traded Dodgers All-Stars Mike Piazza and Hideo Nomo; fired Dodgers manager Bill Russell and general manager Fred Claire; and agreed to sell TV Guide.

Hyman said the increased scrutiny over Fox's operations will not inhibit Murdoch. ``He already lives in Macy's front window as it is,'' Hyman said. ``Who else besides Michael Jordan leads a more public life? He's never been stymied from doing acquisitions.''

WHAT IS THE FOX GROUP?

The many entities that comprise News Corp.'s Fox Group span professional sports to interactive video games. Together the tangled web of affiliates, subsidiaries and divisions generated more than half of News Corp.'s $13 billion in 1997 revenues.
