LA QUINTA MOTOR INNS LIMITED PARTNERSHIP COMMENTS ON NAPPO DISCLOSURES

LA QUINTA MOTOR INNS LIMITED PARTNERSHIP COMMENTS ON NAPPO DISCLOSURES
SAN ANTONIO, Texas, Jan. 30 /PRNewswire/ -- La Quinta Motor Inns Limited Partnership (NYSE: LQP) (the "partnership") today announced that Philip Nappo III, a 32-year-old lawyer, who is purporting to be the principal individual acting on behalf of Ronin Partners, L.P. and its affiliates ("Ronin"), has elected to disclose publicly Ronin's preliminary settlement proposal relating to certain litigation currently pending in Delaware and Ronin's contemplated exchange offer. The general partner believes that disclosure by Nappo is in violation of a confidentiality agreement entered into by the parties.
Alan Tallis, La Quinta Realty Corp. president, said his company is "shocked at the (Ronin) letter and its contents. It is factually incorrect," Tallis said. "We will be responding to it (in detail) at the appropriate time. Any discussions that were held with these people were done pursuant to a confidentiality agreement and were discussions that were held to see if there was a resolution that could be reached for the benefit for all unitholders. We did not anticipate that we would read about those discussions in the newspaper.
"They are trying to coerce us into making a premature decision without the full and complete advice of our advisers and the board's opportunity to carefully review their proposal. We are not going to be bullied into acting imprudently," said Tallis.
As previously disclosed, the partnership and La Quinta Realty Corp., its general partner, have been sued by Ronin in Delaware (which litigation is believed by the general partner to be without merit). Ronin has filed a proposed exchange offer with the Securities and Exchange Commission which has not become effective. The board of directors of the partnership's general partner believes that, based upon its preliminary review of Ronin's proposal, several aspects of the proposal including the amount of the proposed settlement payment to Ronin may be unacceptable and there may be no basis upon which settlement can be reached.
