KINARK ANNOUNCES APPOINTMENTS TO BOARD

 TULSA, Okla., March 26 /PRNewswire/ -- Kinark Corporation (AMEX: KIN) announced today that the board of directors has appointed Richard E. Baierlein, Michael T. Crimmins and Mark E. Walker to the board to fill the vacancies created by the resignations of John F. Guy, Garry Brainin, and George B. Collins, respectively.
 Paul R. Chastain, chairman and chief executive officer of Kinark, said the changes were the result of a negotiated settlement reached by all the participants in the recent Consent Solicitation contest for Kinark board seats. The settlement is subject to approval of the Delaware Court of Chancery.
 As part of the settlement, the Northbridge Group has agreed to terminate its consent and proxy solicitations and Kinark has agreed to terminate its revocation of consent solicitation.
 Due to the time it will take the court to approve the settlement, the board postponed the annual meeting of stockholders scheduled for May 12. Mr. Chastain said the company will reschedule the annual meeting at a later date.
 Baierlein and Crimmins are president and vice president-general counsel, respectively, of Northbridge Holdings, Inc., a privately-held Delaware corporation with holdings in chemicals and plastics businesses. Mr. Walker is a private investor and president of Ocean's Window, Inc., a privately-held recreational products business in Texas.
 Kinark Corporation (AMEX and PSE), with corporate headquarter in Tulsa, operates chemical facilities in Chicago and Montgomery, Ala. and supports industrial/commercial construction and metals corrosion protection with galvanizing plants in Denver, Louisville, Ky., Nashville, Tenn., St. Louis, Houston and Hurst, Texas.
