J.A. INDUSTRIES NEGOTIATES TO ACQUIRE HUTRONIX

 NEW YORK, June 25 /PRNewswire/ -- J.A. Industries Inc. (NASDAQ: JIND) announced today it is negotiating to acquire Hutronix Inc. of Tucson, Ariz. Hutronix Inc. is a high-quality, contract manufacturer with manufacturing facilities in Douglas, Ariz. Hutronix specializes in supplying cables, harnesses, printed circuit boards and electro-mechanical assemblies for use in military, aerospace and commercial applications on either a turnkey, consignment or combination basis. Administrative offices are located in Tucson.
 The Hutronix customer list includes: Hughes Aircraft Co., Honeywell, Sikorsky Aircraft and McDonnell Douglas, to name a few. Sales in 1992 were approximately $2.2 million and anticipated 1993 sales are $2.7 million (USD). Hutronix Inc. has total assets of approximately $2.5 million.
 J.A. Industries Inc. is to issue shares in the amount of $1.0 million (USD) for the shares of Hutronix and additional shares to secure a debt of approximately $600,000 in Hutronix. The anticipated share issuance by J.A. Industries Inc. should be approximately 700,000 shares in total.
 Hutronix also owns a Mexican subsidiary named Q.D.S. de Mexico. This subsidiary enables Hutronix to have a competitive edge with low labor rates on component manufacturing of its products.
 J.A. Industries Inc. intends to manufacture its electronic ballast in the Hutronix facilities in addition to Hungary where it currently has a manufacturing agreement with IBI Interbip Invest. This acquisition should provide quality facilities for anticipated future sales in 1993 and 1994.
 J.A. Industries Inc. will endeavor to raise $1.0 million (USD) to pay down long-term debt and provide additional working capital to Hutronix. Also, as a term of the agreement, Karl Ronstadt, chairman of Hutronix Inc., will join the board of directors of J.A. Industries Inc. Ronstadt, a native of Tuscon, has several business interests and currently sits on the Governor's Advisory Council on Quality for Arizona, the board of directors of the Tucson Airport Authority, and he is the past president of the General Contractors Association of Arizona.
 With this acquisition, J.A. Industries Inc. intends to complete a full audit of all its subsidiaries and the parent company to start reporting procedures by the end of the third quarter. At this time the company intends to start the listing procedure for a NASDAQ and an American Stock Exchange (Emerging Growth Board) listing.
