The Complaint alleges that during the Class Period, RenaissanceRe violated Sections 10(b) and 20(a) of the Securities Exchange Act of 1934, SEC Rule 10b-5, and Sections 11 and 15(a) of the Securities Act of 1933. On February 22, 2005, RenaissanceRe announced that it planned to restate its financial statements for 2001, 2002 and 2003 to correct "accounting errors associated with reinsurance The contract made between an insurance company and a third party to protect the insurance company from losses. The contract provides for the third party to pay for the loss sustained by the insurance company when the company makes a payment on the original contract.  ceded by the Company." RenaissanceRe also announced that it "had discovered an error in the timing of the recognition of premium on multi-year ceded reinsurance contracts for the first three quarters of 2004." On April 8, 2005, Defendants issued a press release announcing that RenaissanceRe received subpoenas from the U.S. Securities and Exchange Commission and the Office of the Attorney General for the State of New York, each of which requests information related to Channel Reinsurance Ltd., a reinsurance company in which RenaissanceRe is an investor. On July 11, 2005, RenaissanceRe announced the resignation of Michael W. Cash, Senior Vice President of Specialty Reinsurance, after he voluntarily refused to accept the subpoenas of the SEC for testimony concerning the Company's restatement Restatement

On July 25, 2005, RenaissanceRe announced that it had received a "Wells Notice A Wells Notice is a letter that the U.S. Securities and Exchange Commission sends to people or firms when it is planning to bring an enforcement action against them. The Wells Notice indicates that the SEC staff has determined it may bring a civil action against the target. " from the SEC in connection with the ongoing investigation into the restatement of the Company's financial statements. The Wells Notice indicated that the SEC intends to bring a civil enforcement action against Mr. Stanard alleging violations of federal securities laws. On this news, the price of RNR shares dropped from $47.23 on July 22, 2005 to at $42.27 on July 25, 2005, on extraordinarily heavy volume of 2.6 million shares traded. The price of RNR's Series C preference shares also dropped on this news on trading nine times heavier than trading the previous day.
