RESOURCES CORP. has entered into an engagement letter with Wolverton Securities Ltd, where Wolverton has agreed to act as Lima's Agent for a best efforts brokered private placement (the "Private Placement") of a minimum of 1,200,000 units (the "Units") and a maximum of 2,000,000 Units at a price of $0.25 per Unit, for minimum aggregate gross proceeds of $300,000 and maximum gross proceeds of $500,000. Each Unit will consist of one common share and one half of one non-transferable share purchase warrant. Each full share purchase warrant shall be exercisable into one common share at a price of $0.35 at any time for a period of 24 months after the closing of the Private Placement. Wolverton will receive a marketing commission of 9.5% of the gross proceeds of the Private Placement and brokers' warrants for the purchase of that number of Units equal to 10% of the number of Units subscribed for under the Private Placement, exercisable at $0.25 per Unit for a period of 24 months after the closing of the Private Placement.
