Intercell International Corporation Acquires Controlling Interest in Brunetti DEC, LLC.

Intercell International Corporation (IICP) today announced that it closed an agreement to acquire a 60% controlling equity interest in Brunetti DEC, LLC. on October 20, 2003.

Intercell International recently completed a $1 Million private placement and will use $700,000 to acquire its controlling interest in Brunetti DEC ("BDEC"). The funds will be used as operating and expansion capital.

BDEC is a Denver-based Colorado company, which provides consulting, design, engineering and construction services for the installation of new communication technology systems consisting of voice, video and data and fiber optic network wiring and cabling and fixed wireless infrastructures. Specifically, BDEC provides the "last mile" connectivity from the fiber-optic systems installed by larger companies primarily to small municipalities. BDEC is focused on government clients, especially small municipalities who want, through municipally owned systems, to promote economic development without raising their tax rates and to provide healthcare, public safety, education and other services to their communities of equal quality to what is provided to the citizens of major metropolitan areas.

In connection with the acquisition, Intercell announced that Mr. Charles L. Brunetti, the President and Chief Executive Officer of BDEC, had been nominated to the Board of Directors of Intercell International Corporation.

Intercell International Corporation also announced the resignation of Paul H. Metzinger, as the President, Chief Executive Officer and a Director of Intercell International Corporation, effective October 20, 2003. Mr. Metzinger had served in these capacities since May 1997.

The Board of Directors of Intercell International nominated Mr. R. Mark Richards to serve as President and Chief Executive Officer of Intercell International Pro Tem. Mr. Richards has served as a director of Intercell International since February 2000. Mr. Richards has over 20 years of management experience, serving in various capacities, including Operations Management, Plant Manager and Business Development Director with Public Service Company of Colorado and Radiological Engineering Program Manager at the Rocky Flats Environmental Technology Site, Denver, Colorado.

In addition, Ms. Kampmann has been appointed as a Manager of BDEC, along with Messrs. Charles L. Brunetti and Allen F. Beal, Jr. of Brunetti, DEC, LLC. Ms. Kampmann has served as the Secretary of Intercell International since July 1999. Ms. Kampmann has served the Chief Financial Officer of NanoPierce Technologies, Inc. since October 1999.
