 INTERNATIONAL MOBILE MACHINES ANNOUNCES
PURCHASE OF THE HAVILAND TELEPHONE COMPANY
KING OF PRUSSIA, Pa., Dec. 6 /PRNewswire/ -- In a joint announcement, Universal Service Telephone Corporation (USTC), a wholly owned subsidiary of International Mobile Machines Corporation (NASDAQ: IMMC), and the former owners of the Haviland Telephone Company of Haviland, Kan., today announced the completion of the closing and the sale of Haviland to USTC.
The terms of the sale were not disclosed.
E.L. Langley, chairman and chief executive officer of USTC, said, "The Haviland Telephone Company is exactly the type of property USTC seeks to acquire. The company is made up of 12 exchanges between Wichita and Dodge City, Kansas, and serves some 3,500 customers. The service area is especially suited for our Ultraphone technology. It is our intent to upgrade the existing plant and facilities, as required, with digital radio technology which will provide the state-of-the-art fixed as well as enhanced mobile telephone service to our customers."
Langley also announced that Robert Ellis, vice president and manager of the Haviland Company will become president and general manager, reporting to Langley and that the current board members will remain.
Ellis, speaking for the former owners of the 40-year-old company, said, "Of the many companies wanting to buy Haviland we chose USTC because we liked the management, the operation plan, the proposed digital radio technology and were satisfied with the price offered."
USTC said it plans no personnel changes and expects salaries and benefits to remain the same for the 11 employees.
Commenting on today's transaction, William J. Hilsman, chairman and chief executive officer of IMM, said, "This is one of the most exciting days in the history of IMM, and, I believe in the history of telephony for the United States. The dream of IMM has always been to bring the most advanced wireless digital radiotelephone technology to the world. The Ultraphone development over the past years began with a rural community in Wyoming and has spread throughout the United States, and now into other parts of the world. IMM is still the only company with wireless digital access products in the marketplace, and through that experience, has learned how to provide the most advanced services to its vast customer base. In conjunction with the announcements made in 1991 of the first wireless city in the United States, and IMM's subsequent success in Kuwait City, IMM also announced its strategy to acquire rural telephone companies throughout the United States and upgrade them with the most advanced wireless services. The management of the Haviland Telephone Company shares this dream. They understand the future benefits that their customers will receive by going forward with the USTC/IMM program. Their vision and our vision will now be expanded, and will include other telephone companies like Haviland throughout this vast country of ours. IMM has entered the service business today, and we intend, in this business segment, to put our principal focus on customer service as we now do and will continue to do in our Ultraphone product business. Coupled with our high technology patent portfolio, I believe, our company is poised to be one of the most exciting companies of the 90s in the largest growth market segment in telecommunications of the 90s, wireless digital access."
IMM created USTC in January of 1991. USTC's corporate objectives are to offer a range of digital access products and services, such as the IMM Ultraphone, to telephone companies worldwide, and to invest in and operate small telephone companies. This transaction marks USTC's second telephone company purchase this year. Several others are currently under consideration as part of the IMM/USTC strategic direction.
