 LOS ANGELES, Jan. 23 /PRNewswire/ -- Mattel Inc. (NYSE: MAT) and


International Games Inc. today announced a merger agreement by which the maker of the perennial hit card games Uno and Skip-Bo will become a wholly owned subsidiary of Mattel. The transaction is expected to be completed during the month of February.
 In making the announcement, John W. Amerman, Mattel's chairman and chief executive officer, said the merger will bring the strength and reputation of the leading company in the card game category to Mattel's recently established game division.
 "International Games will be the cornerstone on which we build Mattel's games business, and will immediately provide us a meaningful presence in the category," he said. "Uno is the top selling game in the industry, based on unit sales."
 "This merger will allow us to leverage the relative strengths of each organization," said International Games Chairman Robert J. Tezak. "International Games will benefit from Mattel's worldwide marketing and distribution network, while Mattel will benefit from International Games' 20-year reputation of producing top selling products for the game category," he said.
 In June, Mattel announced the appointment of industry veteran Larry Bernstein to the post of senior vice president, marketing, with responsibility for directing Mattel's entry into the game market. Under his direction, Mattel will offer a full game line at the 1992 New York Toy Fair.
 Joliet, Ill.-based International Games, Inc. produces a full line of card games for children to adults, as well as board games based on licensed properties. Robert Tezak founded International Games in 1972. As chief executive officer he has overseen the growth of the company from its first product, the classic card game Uno, to a company that markets over 30 games and sells internationally in 25 countries. In recent years he has focused on building the management team and directing the company's strategic planning efforts.
 Mattel Inc., which reported record revenue of $1.47 billion in 1990, is a worldwide leader in the design, manufacture and marketing of children's toys. With headquarters in El Segundo, Calif., Mattel has offices and facilities in more than 20 foreign countries and sells its products in more than 100 nations throughout the world.
