INTEGRATED LABS ANNOUNCES LETTER OF INTENT FOR EXCLUSIVE ENVIRONMENTAL
TECHNOLOGIES LICENSING FROM SAFE ALTERNATIVES CORPORATION
NEW YORK, Nov. 13 /PRNewswire/ -- Integrated Labs, Inc. (NASDAQ: ITLB) of New York City, and Safe Alternatives Corporation and its affiliates (S.A.C.) of Ridgefield, Conn., have signed a letter of intent for Integrated's purchase of exclusive worldwide licensing of S.A.C.'s environmental technologies.
Subject to the consummation of licensing agreements, Integrated will issue to S.A.C. 1 million shares of Integrated's common stock (currently trading at approximately $11.00), pay percentage royalties based on revenues generated by the S.A.C. technologies and commit to fund certain of S.A.C's operations. Upon consummation of the licensing agreements, Integrated will acquire all of S.A.C.'s existing technologies and a right of first refusal on all future S.A.C. technologies.
Integrated said it has been advised that S.A.C.'s technologies include a gamma irradiation process for the sterilization of medical waste and a sludge-foam intermix process designed to treat municipal and industrial sludge, encapsulate heavy materials and aid in the disposal of liquid hazardous wastes. S.A.C. has also advised Integrated that the gamma irradiation process can be used to sterilize sludge and make it safe for handling or disposal.
S.A.C. explained that its sludge process uses a patented MDI polyisocyanate foaming solution to bind with the sludge, dewater and form a solid in less than 90 seconds. A wide range of consistencies of the end-product are possible creating uses such as fuel, landfill cover, fertilizer, erosion control and building products.
S.A.C. also possesses products and processes designed to assist in arresting the biodegradation of petroleum products using gamma irradiation and an enviro-friendly process to break down polyethylene and polystyrene into liquid. The petroleum sterilization process could help conserve some of the 300 million barrels of oil lost each year to biodegradation. The plastic liquification process may have applications in reconstituting new plastics, creating a bonding additive or a wide range of glue products and could have a major impact on the plastic packaging industry.
Acquisition of S.A.C.'s technologies significantly broadens Integrated's involvement in environmental and pollution control markets. Integrated has been developing a network to introduce gamma irradiation medwaste sterilization process for entry into the $3.5 billion medwaste treatment and disposal market.
Integrated said it believes that the U.S. ban on ocean dumping of sludge is creating a growing demand for safe disposal methods and ways to use the sewer treatment residue for commercial purposes. The sludge- foam intermix process and gamma sterilization process may have wide municipal and industrial applications.
Integrated said it expects to directly market S.A.C.'s products or sub-license the technologies domestically and internationally.
