INDE SECURES MAJOR CUSTOMER AND EQUITY SHAREHOLDER
LOS ANGELES, June 23 /PRNewswire/ -- Independent Entertainment

Group Inc. (NASDAQ: INDE) has entered into an exclusive long-term agreement with Allstate Communications Inc. (ACI) and Pure Entertainment to provide all of their pay-per-call audiotext services. ACI is the exclusive agent for Pure Entertainment which is the audiotext/pay-per-call division of General Media, which publishes such magazines as Omni, Compute, Four Wheeler, Penthouse and Longevity.
ACI will now be INDE's largest customer for INDE's service bureau and ConnectCard operations and is a 10 percent minority shareholder in its ConnectCard Inc. subsidiary. This new contract calls for all of ACI's and Pure Entertainment's existing business to be moved to INDE in a timely manner. ACI and Pure Entertainment are developing a series of "talking magazine" pay-per-call applications which will provide information delivery in an interactive format to its readers. INDE's agreement provides that it will have the exclusive right to provide all pay-per-call service bureau functions for these new applications.
ACI, in separate transactions, has purchased a substantial position in INDE's common stock and has agreed to "lock-up" those shares which were purchased through market transactions. ACI has also agreed to convert its 10 percent interest in ConnectCard Inc. common stock into INDE restricted stock and has secured an option to purchase an additional 500,000 shares of INDE restricted common stock.
Russell Leventhal, president of ACI, commented, "The opportunity for talking magazine applications is enormous. We see the INDE and General Media alliances as key to riding the wave of this developing pay-per-call market. General Media has a solid stable of publications with millions of readers and INDE has the experience and capability to deliver advanced, innovative pay-per-call services and interactive audiotext systems."
INDE's Chief Financial Officer Lew Eisaguirre, noted that "ACI's investment in INDE marks a significant event for the company. This long-term exclusive commitment from one of the industry's most substantial and leading information providers initially means approximately 350,000 minutes per month in existing service bureau business with major growth potential and illustrates their confidence in INDE's future."
INDE is a leading innovator in the "pay-per-call" business and is active in other emerging "new media" including "pay-per-view."
