INACOM TO ACQUIRE SEARS BUSINESS CENTERS

 CHICAGO, Jan. 13 /PRNewswire/ -- Sears, Roebuck and Co. (NYSE: S) and InaCom Corp. (NASDAQ: INAC) today announced an agreement for the sale of the Sears Business Centers (SBC) division to InaCom, the Omaha, Neb.-based computer and communications systems provider. The transaction is expected to be closed within 30 days.
 Financial details of the sale were not disclosed.
 SBC, a Sears Merchandise Group division started in 1981, sells and services advanced computing equipment and networking products for businesses around the country through free-standing branch office locations. This transaction does not affect the "Office Centers at Sears" departments within Sears stores which sell home office computers and equipment. Sears currently has 174 Office Center departments and will open additional Office Centers in 1993.
 As part of the agreement, InaCom will acquire certain SBC fixed assets and continue the operation of the majority of SBC's 49 branch offices. While details about branch office locations have not been finalized, InaCom said certain SBC offices will remain as stand alone offices, others will be integrated into InaCom's national network of computer centers and certain SBC offices could be merged with existing InaCom locations. Sears said offices not included in the agreement would be closed.
 Sears and InaCom said providing excellent service to SBC customers will continue as a top priority going forward. Sears will provide transition services for four months after the transaction is closed to assure continuity of service to customers.
 "After several months of assessing and reviewing the Business Centers, we have determined they no longer are consistent with the long- term merchandising strategies of our core retail business," said Arthur C. Martinez, chairman and chief executive officer of Sears Merchandise Group. "The Business Centers have experienced strong sales growth over the past few years and will be a good fit for a company like InaCom.
 "Business Centers respond to the computing needs of bigger companies and require a very different focus than the strategies used in our in- store Office Centers' which offer computers and other equipment for home-based businesses," Martinez said.
 According to Bill L. Fairfield, InaCom's president and chief executive officer, the acquisition gives InaCom expanded geographic coverage and enhanced service consistency. "InaCom is now the only provider of computer systems and services that can offer large, multi- national customers complete national and international coverage with consistent quality," said Fairfield.
 InaCom plans to consolidate all headquarters functions in Omaha, while capitalizing on SBC's expertise in designing and managing computer networks -- one of the fastest growing segments of the personal computer industry.
 InaCom markets computer systems and services to businesses in 50 states through over 1,200 locations, including ValCom and Inacomp Computer Centers, systems integrators, value-added resellers and other specialized providers of computer systems and support.
