), have entered into a license and collaboration agreement with Pasteur Merieux Serums & Vaccins S.A and Connaught Laboratories Limited (Pasteur Merieux - Connaught, a member of the Rhone-Poulenc Group), relating to IDV's tuberculosis (TB) vaccine technology.

Under the agreement, Pasteur Merieux - Connaught receives a worldwide exclusive license to develop, manufacture and sell the TB vaccine. Initially, Pasteur Merieux - Connaught and IDV will collaborate in the further research and development of the TB vaccine. IDV will receive an upfront licensing fee, development support payments, and an equity investment totalling US$ 4.5 million. Additionally, IDV will receive substantial milestone and prepaid royalty payments if certain clinical and regulatory milestones are met, as well as royalties on product sales. Pasteur Merieux - Connaught will pay all expenses associated with the development and commercialisation of the TB vaccine. The common shares of IDV received by Pasteur Merieux - Connaught will in certain limited circumstances be exchangeable into common shares of IDB.

IDV's TB vaccine technology was licensed from the University of California, Los Angeles UCLA comprises the College of Letters and Science (the primary undergraduate college), seven professional schools, and five professional Health Science schools. ) and was invented and developed by Dr. Marcus A. Horwitz, a professor of medicine, microbiology and immunology at UCLA. Dr. Horwitz's pioneering work on intracellular pathogens and host immunity led him to the discovery that proteins secreted by intracellular organisms allow the immune system to recognise and destroy intracellular pathogens. This discovery is supported by studies done with two intracellular organisms Legionella pneumophila and Mycobacterium tuberculosis.

Animal studies under Dr. Horwitz's direction have demonstrated the potential to develop a vaccine that will induce protective immunity against tuberculosis. Use of the experimental vaccine protected these animals against death, clinical illness (including weight loss), and growth of the disease organism in the lungs and elsewhere in the body. Additional studies in primates have demonstrated that the vaccine caused no local or systemic toxicity and elicited cell mediated immunity, a prerequisite for protective immunity against TB.

Tuberculosis is the world's leading cause of illness and death from an infectious disease and is expected to cause 300 million new infections and 30 million deaths in the next decade according to a recently released WHO Report entitled "WHO Report on the Tuberculosis Epidemic, 1995".
