Hills Stores announces completion of the sale of $195 million of its senior notes.

Part of the Information Systems & Telecommunications Division of Hitachi Ltd. ) today announced that it has completed the sale of $195,000,000 principal amount of its 12 1/2% Senior Notes due 2003.

The new class of Senior Notes was sold to qualified institutional buyers pursuant to Rule 144A Rule 144A

A Securities & Exchange Commission rule modifying a two-year holding period requirement on privately placed securities to permit qualified institutional buyers to trade these positions among themselves.

Noncallable securities include preferred stocks and bonds. These securities usually offer lower yields to investors due to their reduced risk.

A portion of the proceeds received from the sale of the Senior Notes will be used to redeem the company's 10.25% Senior Notes pursuant to an offer by the Company to redeem such Senior Notes which was required as a result of a change of control that occurred in July 1995. The offer to redeem was also announced today.
