 technology firm that acquired a 32% interest in HTE in 1999. Under Florida's control-share acquisition statute, Tyler could not vote its 5.6 million shares unless a majority of HTE's shareholders, other than Tyler, voted to restore voting rights to Tyler's shares through a one-time mandatory proposal. Of the 11,726,233 shares eligible to vote on the proposal, only 1,334,655 shares were voted in favor of conferring voting rights to Tyler.
