HNC Software Acquires Assets of Blaze Advisor Business From Brokat Technologies; HNC Increases Leadership Role in Customer Insight Market.

), a leading provider of customer insight software, announced today that it has acquired certain assets of the Blaze Advisor A system for adding rules-based processing into an application from Fair Isaac Corporation, Minneapolis, MN, (www.fairisaac.com). Blaze Advisor is a Java-based rules engine that enables Windows, Solaris and OS/390 applications to be more easily revised by making changes in the rules  business unit from Brokat Technologies, a publicly-traded company (Nasdaq: BROA)(Neuer Markt: BRJ BRJ Baseball Research Journal

The Blaze Advisor business unit is the successor to Blaze Software Inc., a formerly-public company that Brokat acquired in September 2000. HNC purchased certain assets of the Blaze Advisor unit for a cash purchase price of US$20 million and the assumption of certain liabilities of the business unit. A total of $2 million of the purchase price has been withheld to secure HNC's indemnity rights under the acquisition agreement.

Historically, the Blaze Advisor business unit of Brokat generated significant operating losses. The cost structure of the acquired business has been reduced, and HNC has acquired a business consistent with HNC's general goals for revenue and profitability. HNC acquired the assets and liabilities of the Blaze Advisor business and approximately 100 employees.

As a result, HNC anticipates that Blaze will add approximately $2 million to $3 million to its third quarter total revenues and approximately $7 million to $9 million to its full year 2001 total revenues. Including integration and transition costs, HNC expects there to be no impact to its third quarter and full year earnings guidance.

HNC Software is purchasing the Advisor rules technology to accelerate the delivery of the next-generation of the HNC Customer Insight platform to market, to add an important product to its portfolio and to extend the value of certain existing products.
