HELIAN HEALTH GROUP AGREES TO ACQUIRE AN INTEREST IN THE LODI OUTPATIENT SURGICAL CENTER AND WILL DEVELOP A NEARBY RECOVERY INN

MONTEREY, Calif., Nov. 23 ~PRNewswire~ -- Helian Health Group Inc. (NASDAQ-NMS: HHGR) announced today that it has entered into an agreement in principle to purchase a 50 percent interest in the Lodi Outpatient Surgical Center -- the only freestanding ambulatory surgery center (ASC) in Lodi, Calif. Furthermore, Helian has agreed to join its 90 Lodi Outpatient Surgical Center physician~partners (Artel Inc.) in a 50-50 partnership to develop a nearby Recovery Inn(SM). When the Recovery Inn is completed, Lodi Outpatient Surgical Center's operations will move to the new facility. Completion of this agreement will add Helian's sixth surgical facility in California and, nationwide, bring the company's total medical care facilities to 18.
The Lodi Outpatient Surgical Center was founded in 1984 and serves a 30-mile area containing approximately 200,000 people. More than 15,000 surgeries have been performed at this ASC since its opening. Lodi Outpatient Surgical Center is 8,500 square feet and has three operating rooms and a GI lab. The new Recovery Inn of Lodi will be approximately 20,000-25,000 square feet, have five operating rooms and provide 10-15 patient suites for post-surgical recovery.
The fees charged by ASCs are typically 20 to 40 percent lower than those charged by traditional hospitals. ASCs provide physicians and patients complete facilities for elective outpatient surgery. Nearly 60 percent of all surgeries in the United States are now routinely performed on an outpatient basis including orthopedic; gynecological; eye, ear, nose and throat; reconstructive; urological; and general surgical procedures. More than 3,000,000 surgeries are performed in freestanding surgery centers each year in the United States. Modern freestanding surgery centers offer safe, often less stressful alternatives to traditional hospitals for those seeking many types of elective surgeries. Additionally, patients recover at home in the comfort of familiar surroundings.
Licensed as acute care hospitals, Recovery Inns add overnight recovery rooms to the advantages of ambulatory surgery centers. They enable patients to undergo more complex surgical procedures and to recuperate in a comfortable hotel-like setting at 30 to 40 percent savings when compared with traditional hospitals. Some of the key features of a Recovery Inn are: a high nurse-to-patient ration, hotel-like patient suites, a well-trained medical staff committed to personalized care and a total cost substantially less than traditional hospitalization.
Helian Health Group Inc. is a progressive medical services company that concentrates on specialty surgical centers and occupational health care.

Helian is dedicated to solving the major health problem that confronts the United States today -- namely, lowering the high cost of medical services. To this end, Helian specializes in two modern methods of providing health care:
Surgery Centers: Helian operates one of the nation's leading ambulatory surgery centers (Surgecenter of Palo Alto, Calif.). The company has completed development of a second surgery center in Northridge, Calif., and is developing another in Salinas, Calif. Helian is actively introducing new-concept surgical hospitals to the medical community. The first of these -- the Recovery Inn of Los Gatos, Calif., opened June 1, 1992. Recently the second of these -- the Recovery In of Menlo Park, Calif., celebrated its grand opening.
Occupational Health Care: Helian is the dominant provider of occupational health care in Tucson, Ariz.; Fresno, Calif.; and Atlanta, Ga. The company has more than 10,000 employer clients and attends to more than 225,000 patient visits per year.
