HEDLEY PACIFIC VENTURES CONCLUDES 5-YEAR CONTRACT TO DISTRIBUTE HEDLEY INSECTICIDES IN JAPAN WITH MINIMUM VALUE OF U.S.$7.6 MILLION

 VANCOUVER, B.C., Nov. 3 /PRNewswire/ -- Hedley Pacific Ventures, Ltd. (VSE: HED), manufacturers and distributors of highly effective, all natural, non-toxic insecticides, has concluded a contract with Yoshi-No-Kai (JAPAN) to be exclusive distributor of the Company's Insecolo insect control products in Japan for a five-year period with minimum commitment valued at U.S.$7,623,590 under Stage Two approval, Kirk Godfrey, President, announced today. Letter of intent was announced on October 6, 1993. The contract also grants Yoshi-No-Kai the first right of refusal for a joint manufacturing venture in Asia.
 Mr. Godfrey said, "We are pleased by the prompt conclusion of this contract for Hedley Pacific's first overseas expansion and expect that first shipments will commence on December 15, 1993. We also expect that the minimum guarantees will be substantially exceeded over the five year term of the contract."
 The Japanese Ministry of Health has granted approval to market Insecolo at the Stage One ("Seikatsu Fukaigaichu") level. Contract at stated level is conditional on obtaining permission at the Stage Two ("Iyakubugaihin") level. If Stage Two permission is not granted, commitment will be reduced until government permission is received. Government permission is expected to take approximately one to two years. Hedley Pacific Ventures will share in the expense of research to induce government approval utilizing the services of Dr. Zlato Korunic, Hedley Pacific's Senior Research Scientist, who was the leading pesticide scientist in the former Yugoslavia.
