 physician groups announced Tuesday that they will merge in the coming months, creating a company with $70 million in annual revenues and about 90,000 managed care enrollees.

Medco's Keystone Medical Groups has contracts to care for about 40,000 managed care enrollees in the region, while Lakeside treats about 50,000 enrollees, said Keystone Chief Executive Officer Keith Richman.

``Both Lakeside and Keystone to this point have remained independent and are committed to remaining physician-owned and -directed,'' Richman said.

The proposed new company will be based in Glendale, Richman said.

Beyond the desire to remain physician-owned, a driving force behind the proposed merger is cost savings, Richman said. ``We can save money on purchasing, reduce administrative costs administrative costs,

The proposed merger must be approved by both companies' physician investors.
