Goodyear and Sumitomo form global alliance.


Goodyear Tire & Rubber, Akron, OH, and Sumitomo Rubber Industries Sumitomo Rubber Industries, Ltd. (住友ゴム工業株式会社  , Ltd. (SRI), Kobe, Japan, announced a far-reaching global alliance between the two companies. Goodyear and SRI, which has rights to the Dunlop brand in major world markets, will form four joint venture operating companies, one in North America North America, third largest continent (1990 est. pop. 365,000,000), c.9,400,000 sq mi (24,346,000 sq km), the northern of the two continents of the Western Hemisphere. , one in Europe and two in Japan, and two synergy-focused support ventures based in the U.S., one for global purchasing and one for sharing tire technology.  joint venture will include SRI's tire operations in North America with annual sales of $800 million. Goodyear's North American tire group, including Kelly-Springfield and Canada, will operate outside the joint venture. The European business venture will include the tire businesses owned by both companies in Western Europe. The 1998 estimated combined sales for the European company would total $4 billion. Goodyear's operations in Poland, Slovenia, Turkey, Morocco and South Africa will remain outside the alliance, as well as the company's European Chemical Division in France and its mold, wire and fabric facilities in Luxembourg. Similarly, SRI's non-tire European activities, such as the manufacture and sale of beds, car seats, precision rubber and wheels, will remain outside the alliance. For Goodyear, access to the Dunlop tire in the replacement markets in the U.S., Canada, Mexico and Europe offers significant sales opportunities.

In Japan, two joint ventures will be formed. The first venture will supply both brands of tires to original equipment manufacturers. The second venture will supply Goodyear brand tires to the replacement market through SRI's and Goodyear's distribution channels. SRI's replacement tire business in Japan remains outside the joint venture, as well as SRI's non-tire divisions, including sporting goods division and industrial rubber products division.

Goodyear's tire and non-tire operations in Asia and Latin America will continue to operate independently from the joint ventures, as will SRI's tire and non-fire operations in Asia. Definitive joint venture agreements are expected to be signed in May and will be subject to approval by various government regulatory agencies, including in the U.S. and European Union European Union (EU), name given since the ratification (Nov., 1993) of the Treaty of European Union, or Maastricht Treaty, to the

European Community
. The joint ventures are expected to be operational by September 1. As a result of this transaction, Goodyear's consolidated annual sales are expected to increase by $2.5 billion, or 20%.

Columbian Chemicals, Marietta, GA, will assume management and operating responsibility of one of the leading carbon black manufacturers in South Korea. Columbian, a wholly-owned subsidiary of Phoenix, AZ-based Phelps Dodge, which acquired an 85% interest in the carbon black manufacturing business of Korea Kumho Petrochemical Co., Ltd., will manage and operate the 110,000 metric-tons-per-year manufacturing plant located in Yeosu, South Korea. Columbian and Kumho will form a joint venture, Columbian Chemicals Korea (CCK (Complimentary Code Keying) A direct sequence spread spectrum (DSSS) coding method used in the 802.11b wireless LAN standard for 5.5 and 11 Mbps. The slower 1 and 2 Mbps specifications use Barker coding which has a chip rate of 11 compared to 8 in CCK. ) to produce rubber and industrial carbon blacks for customers throughout the Asian region. Kumho will retain a 15% interest in CCK. The acquisition is valued at $73.1 million.

Clariant, Easton, MD, a global specialty chemicals company, has signed an agreement to form a joint venture with Sang Ho Mercantile Co., Ltd., a South Korean plastics compounder headquartered in Yangsan; Kyongnam Province, South Korea. Clariant will hold a 55% equity position in this venture, also to be called Sang Ho Mercantile Co., Ltd. The creation of this joint venture will establish a strong market presence for masterbatches and engineered compounds in South Korea and Japan, which are the number two and one plastics markets, respectively, in Asia, according to the companies. Financial terms of the agreement have not been released.
