Goldsmith Agio Helms and Angus Industries Announce Management/Employee Purchase of Angus Industries, Inc.

("Angus" or the "Company"), announced today the purchase of the Company by the Angus management team and the Company's Employee Stock Ownership Plan and Trust. Angus formerly was controlled by Minneapolis-based Churchill Equity Partners, the private equity arm of Churchill Capital, Inc. ("Churchill").

Dave Hallett, managing director and partner of Goldsmith Agio Helms, commented, "Early in the process, the Angus management team, recognizing the quality of the Company's growth prospects, expressed interest in acquiring Angus."

James Frommelt, director of Goldsmith Agio Helms, added, "Despite strong interest from potential strategic and financial buyers, a purchase by Angus management and employees was determined to be in the best interests of the Angus employees and Churchill."
