Gary L. Crooks, member of the Board and Chair of Shareholder Relations Committee, announced that the Board has entered into serious negotiations with a target company and are about to enter the final due diligence Research; analysis; your homework. This term has caught on in all industries, because it sounds so "wired." Who would want to do analysis or research when they can do due diligence. See wired.  prior to enter into a Definitive Agreement, for the purpose of acquisition, in the very near future. Additionally, the Company has been approached by two other operating and privately owned and controlled companies; one in the media field and the other in pharmaceutical related arena, both whom are currently operating with substantial revenues.

Mr. Crooks also indicated that a proposal was presented to the Board of Directors and approved for formation of an "Advisory Board". Two candidates, James Filipek with extensive management experience with Dell Computer and IBM (International Business Machines Corporation, Armonk, NY, www.ibm.com) The world's largest computer company. IBM's product lines include the S/390 mainframes (zSeries), AS/400 midrange business systems (iSeries), RS/6000 workstations and servers (pSeries), Intel-based servers (xSeries)  Corporation, etc; and Marcus Flagg, A former US Naval Academy and Post Graduate with service from 1985 thru 1995. In addition he serves on the Presidential Committee for "Pilot Safety", have been appointed to join the Advisory Board/Committee. Mr. Crooks and the other Board members are continuing their search for other possible candidates. In addition, the Corporation is continuing discussions with potential Investment Banker Investment Banker
