TO:     ALL PERSONS WHO HELD SHARES OF IMPERIAL BANCORP ("IMPERIAL")
        AND RECEIVED COMERICA COMMON STOCK AS A RESULT OF THE MERGER
        BETWEEN IMPERIAL AND COMERICA ON JANUARY 29, 2001 OR WHOSE
        SHARE OWNERSHIP IN COMERICA IS OR WAS, ALL OR IN PART,
        TRACEABLE TO THE 21 MILLION SHARES ISSUED IN THE MERGER SHARE
        EXCHANGE.

no later than November 23, 2005. If you are a Class Member and do not
exclude yourself from the Class, you will be bound by the Order and
Final Judgment of the Court. To exclude yourself from the Class, you
must submit a request for exclusion, in the manner and form provided
in the full printed Notice described above, postmarked no later than
September 30, 2005. Any objection to the Settlement must be filed by
September 30, 2005. If you are a Class Member and do not submit a
proper Proof of Claim, you will not share in the Settlement but you
nevertheless will be bound by the Order and Final Judgment of the
Court.
