 GSU AND ENTERGY SCHEDULE SPECIAL SHAREHOLDER MEETINGS
 BEAUMONT, Texas and NEW ORLEANS, Nov. 9 /PRNewswire/ --Gulf States


Utilities Co. (NYSE: GSU) and Entergy Corp. (NYSE: ETR) said today that both companies' common shareholders would hold special meetings on Dec. 17 to consider the proposed combination of the two utility systems.
 Joseph L. Donnelly, GSU's chairman, president and chief executive officer, said Gulf States' special shareholder meeting would be at 2 p.m., Dec. 17 at the company's corporate headquarters in Beaumont, Texas.
 Edwin Lupberger, Entergy's chairman and chief executive officer, said Entergy would hold its special shareholder meeting at 10 a.m., Dec. 17, at the Westin Hotel in New Orleans, Entergy's headquarters city.
 Shareholders of record on Nov. 6, 1992, will be eligible to vote by proxy or in person at the special stockholder meetings. The companies are in the process of providing each of their shareholders with a joint proxy statement and prospectus.
 Various regulatory bodies also must approve the combination before it can become final.
 Gulf States and Entergy announced on June 8 that they had entered into a definitive agreement providing for the combination of the two companies. According to the terms of the agreement, GSU common shareholders will receive $20 per share in cash or stock (subject to adjustment as provided in the definitive agreement) and the total consideration to be paid to GSU common shareholders will be about $2.3 billion.
 GSU provides electric service to more than 586,000 customers throughout a 28,000-square-mile area of Southeast Texas and South Louisiana. Revenues in 1991 were about $1.7 billion.
 Entergy's retail operating companies currently serve more than 1.7 million customers across an 84,000-square-mile area in parts of Arkansas, Louisiana and Mississippi. The Entergy companies serving those areas are Arkansas Power & Light Co., Louisiana Power & Light Co., Mississippi Power & Light Co. and New Orleans Public Service, Inc. Entergy's 1991 sales amounted to $4 billion.
