GPU, Inc. Board Declares Contingent Regular Common Stock Dividend.

MORRISTOWN, N.J.--(BUSINESS WIRE)--Oct. 4, 2001

The GPU, Inc. (NYSE: GPU) Board of Directors today declared a quarterly dividend of $0.545 per share on its common stock, prorated at a rate of $0.006056 per day for the period August 29, 2001 through the effective date of GPU's pending merger with FirstEnergy Corp., assuming the merger is consummated on or before November 28, 2001.

The dividend is payable to stockholders of record at the close of business on the business day immediately preceding the effective date of the merger, and payable 30 days following the effective date of the merger.

If the merger has not been consummated on or before November 28, 2001, the dividend will be payable within 15 days of the record date to stockholders of record on November 27, 2001.
