 GENERAL DYNAMICS ACCEPTS BERKSHIRE HATHAWAY PROPOSAL
 Falls Church, Va., Sept. 17 /PRNewswire/ -- General Dynamics


Corporation (NYSE: GD) today announced that the company's board of directors has authorized the acceptance of an agreement submitted by Berkshire Hathaway Inc. (NYSE: BRK) regarding the voting and disposition of General Dynamics securities held by Berkshire Hathaway.
 Under its agreement, Berkshire Hathaway has granted General Dynamics a proxy empowering the company to vote all General Dynamics voting securities owned by Berkshire and its subsidiaries in accordance with the recommendation of a majority of General Dynamics' board of directors in all matters which may come before shareholders.
 The proxy covers all shares currently held by Berkshire Hathaway and subsidiaries, and any additional shares they may hold in the future. Berkshire Hathaway has stipulated that its proxy will remain valid so long as it owns voting securities and William Anders remains as chief executive officer of General Dynamics.
 Commenting on the announcement, Chairman William Anders said, "Warren Buffett has told me that he is 'in for the long term' and that the purpose of his volunteering this agreement is to express his enthusiastic support of our management team and to allow us to continue to focus 100 percent on executing our strategic plan."
 The agreement also stipulates that, unless it has obtained the prior consent of General Dynamics, Berkshire Hathaway and its subsidiaries will not knowingly dispose of any shares of General Dynamics voting securities to any person who has made a filing with the Securities and Exchange Commission with respect to ownership of 5 percent or more of General Dynamics voting securities, or who would be required to do so as a result of the purchase from Berkshire. The Berkshire agreement also restricts sales to any party who seeks to change the control of General Dynamics in any manner.
 The agreement does not restrict transactions among Berkshire Hathaway subsidiaries, sales to General Dynamics or its subsidiaries, sales into tender offers not opposed by the board of directors of General Dynamics, or open market transactions which do not knowingly violate the above stipulations.
