Mr. Green has entered into an agreement with FutureOne to arrange equity and bank financing for the Company.

Now that FutureOne is restructured and completely focused on engineering and construction, Mr. Cook and Mr. Green believe that their management successors should now provide the leadership for the whole Company in order to execute the Company's new business plan.

Mr. Green stated, "Mr. Cook and I led the effort to complete the restructuring of FutureOne in the second half of 2000 so that Mr. Cannella could implement and focus on a strategy for future growth, profitability and a new beginning for the Company and its shareholders." Mr. Green added, "I look forward to assisting FutureOne with its capital needs for growth. As a large equity holder and venture capital investor I am pleased with the events that have taken place over the last two quarters and am especially excited about the Company's plans for next year."

The Company has recently completed a restructuring, which includes the divestiture The breakup of AT&T.
