Forest Oil Announces Minimum Tenders Received in Debt Tender Offer.

DENVER--(BUSINESS WIRE)--Sept. 12, 1997--Forest Oil Corporation (Nasdaq:FOIL) today announced that in connection with its cash tender offer for its outstanding $100,000,000 aggregate principal amount of 11-1/4% Senior Subordinated Notes due 2003 (the "Notes"), it had received tenders and consents in an amount in excess of 80% of the principal amount of Notes outstanding.

Accordingly, the minimum condition has been satisfied for the consent solicitation Consent Solicitation

A solicitation by one party to the stakeholders of a particular security for the consent of a material change.

Notes:
Should the majority of stakeholders provide valid consent prior to the consent expiry date, the issuer may then follow through with
 to affect certain amendments to the Indenture under which the Notes were issued. The company intends to enter into a supplemental indenture with respect to the Notes to effect such proposed amendments. Holders who have provided the consents to the proposed amendments will receive a consent payment of $25 for $1,000 principal amount of Notes tendered and accepted for purchase pursuant to the offer.

The purchase price for each $1,000 principal amount of Notes tendered and accepted for purchase will be based on the yield to the first call date equal to a 65-basis point spread over the yield of the 6.125% U.S. Treasury U.S. Treasury
