 has withdrawn the following ratings for Hanover Hanover, city, Germany
Hanover, Ger. Hannover, city (1994 pop. 524,820), capital of Lower Saxony, N Germany, on the Leine River and the Midland Canal.

--EUR72,200,000 class A1 notes 'A-';

--EUR80,500,000 class A2 notes 'BBB';

--EUR80,500,000 class B notes 'BB';

--EUR70,000,000 class C notes 'B';

--EUR50,400,000 class D notes 'CCC';

--EUR30,450,000 class E notes 'CC';

--EUR29,400,000 class F notes 'CC';

--EUR28,000,000 class G notes 'CC';

--EUR24,500,000 class H notes 'CC';

--EUR18,200,000 class I notes 'CC' rating withdrawn.

The issuer announced noteholder approval of an amendment removing Fitch fitch: see polecat.  as a rating agency from certain documents of the transaction. As a result of this amendment, Fitch does not expect to receive future reporting for this transaction.

Fitch's policy on withdrawing ratings is to take into consideration whether it has access to sufficient information in assessing the credit quality of the notes. If Fitch decides to cease providing ratings, it will withdraw the ratings using the most current methodology and opinion on the credit risk of the notes. In this case, Fitch has decided to withdraw its ratings on these notes.

Fitch released its updated criteria for corporate CDOs on April 30, 2008.
