Fitch Ratings Affirms Sky Financial Group, Inc.; Places Three Rivers Bancorp on Rating Watch Positive.

NEW YORK--(BUSINESS WIRE)--May 8, 2002

Fitch Ratings has affirmed the ratings for Sky Financial Group, Inc. ('BBB+/F2') and its principal subsidiaries and placed the ratings for Three Rivers Bancorp ('BB+/B') and its primary subsidiary Three Rivers Bank & Trust Company ('BB+/B') on Rating Watch Positive. The rating action follows the announcement of a definitive merger agreement between Sky Financial Group, Inc. (Sky) and Three Rivers Bancorp (Three Rivers). A complete list of ratings follows at the end of this release.

The definitive merger agreement outlines the transaction in which Three Rivers will be merged into Sky and the subsequent merger of Three Rivers Bank & Trust Company into Sky Bank. Three Rivers will operate within Sky's existing regional operating structure. The merger of Sky and Three Rivers would result in an enhanced franchise in the Pittsburgh, Pa. market, particularly in small business lending and wealth management activities. The merger does not significantly alter Sky's capital levels and overall risk profile. The merger is subject to regulatory approvals and projected to close in the fourth quarter of 2002.
