Fitch Rates Mattel's $300MM Senior Unsecured Notes 'BBB'.

 -- Fitch Ratings has assigned a 'BBB' rating to Mattel, Inc.'s two senior unsecured note issuances totaling $300 million, which encompass the following:

-- $100 million floating-rate note based on 3 month LIBOR LIBOR

 plus 40 basis points;

-- $200 million, 6.125% 5 year note due June 2011.

Proceeds from this issuance will be used to refinance short and medium term debt maturities. The Rating Outlook is Stable. Fitch currently rates Mattel as follows:
