280 Park Avenue's commercial mortgage pass-through certificates Pass-Through Certificates (PTCs) are instruments that evidence the ownership of two or more Equipment Trust Certificates. In other words, Equipment Trust Certificates may be bundled into a pass-through structure as a means of diversifying the asset pool and/or increasing the size , series 2001-XL280 are rated by Fitch as follows:

--$269,805,327 class X-1 `AAA';

--$31,000,000 class B `AA';

--$11,805,327 class F `BBB'.

All classes are privately placed pursuant to rule 144A Rule 144A
