Under the deal, Digital Production Solutions will acquire 51 percent interest in the animation studio through the purchase of newly issued shares of the company's common stock.

Film Roman has been struggling financially over the past few years as a result of changes in federal law allowing the television networks to own their own programs rather than pay independent producers like Film Roman to produce television programs.

The company, however, recently reported its first quarterly profit since 1995 when it posted $338,000 in net income or $0.04 per share on $11.5 million in revenue for the quarter ending March 31, compared with an $816,267 loss or $0.10 per share on $15.7 million in revenue for the like period last year.

 said Film Roman's profit was the result of aggressive cost cutting measures which included layoffs and cuts in the traditionally expensive development department where scripts and story concepts are acquired and developed for possible production.

"A combination of economy and efficiency has made the company profitable," he said.

Despite the company's return to profitability, Film Roman's overall revenue slipped by $4.2 million, due to fewer episodes produced during the period. Film Roman produced 18 episodes compared to the 24 produced during the same period last year.

The company relies primarily on the shows "King of the Hill" and "The Simpsons," both produced for the Fox network, as well as "X-Men" for the WB Network. The shows make up 40 percent, 41 percent and 15 percent of the company's total revenue, respectively.

For the upcoming season, the company is producing 22 episodes of "The Simpsons," and "King of the Hill," with 9 episodes scheduled for "X-Men," 13 episodes for the new Sci-Fi Channel cartoon series A cartoon series is a set of regularly presented animated television programs created or adapted for television broadcast with a common series title, usually related to one another. , "Tripping the Rift Tripping the Rift is a CGI science fiction comedy television series.
