FileNet to acquire Saros Corporation; Acquisition redefines enterprise document management.

Under the terms of the definitive agreement, FileNet will issue 2,222,000 shares, consisting of directly issued shares and options to purchase FileNet Common Stock, in exchange for all of the outstanding stock and options of Saros. The transaction is expected to qualify as a tax-free reorganization and a pooling of interests Pooling of Interests

For the full year, net income will approximate $1.43 per share on $215.5 million in revenue, compared to $1.02 per share on $176.9 million last year.
