Federated seeking refinancing for $953.5 million of Macy acquisition debt.

 $953.5 million aggregate principal amount of indebtedness issued in connection with the company's acquisition of R.H. Macy & Co.

The indebtedness to be prepaid is Federated's Series A Notes due 1999, and its Series B Notes due 2002. These notes do not bear interest and may be redeemed at par by the company prior to January 31, 1995. The proposed refinancing is subject to various future events, however, and there can be no assurance that the existing debt will be retired early.
