Fashion Dynamics Enters Agreement and Plan of Merger with FED Corporation.

VANCOUVER, British Columbia--(BUSINESS WIRE)--March 15, 2000

Fashion Dynamics Corporation (the "Company"), announced today that it has entered into a definitive Agreement and Plan of Merger with FED Corporation, located in Hopewell Junction, New York Hopewell Junction is a hamlet (and census-designated place) in Dutchess County, New York, United States. The population was 2,610 at the 2000 census.

Hopewell Junction is located within the Town of East Fishkill.
. In connection with this transaction, the Company has filed an application to list its common shares on the American Stock Exchange American Stock Exchange (AMEX)

Stock exchange in the U.S. Originally known as “the Curb,” it began as an outdoor marketplace in New York City c. 1850. It moved indoors to its present location in the Wall Street area in 1921.
 and has changed its name to eMagin Corporation.

The Agreement and Plan of Merger specifies that upon closing, FED will merge with the Company's subsidiary, FED Capital Acquisition Corporation, with FED surviving. Following the merger, the business to be conducted by the Company will be the business conducted by FED prior to the merger. In connection with the merger, the Company has raised approximately $27,250,000 in a private placement which will be used to fund the operating and capital needs of the Company. The closing of the transaction is expected to occur on or before March 16, 2000, but is subject to the satisfaction of certain conditions.
