:FMBL FMBL Fremont Main Branch Library (Fremont, CA) ) today announced that the Superior Court of the State of California for the County of Orange (the "Court") conducted a hearing on December 17, 2007 on whether to grant final approval of the proposed settlement of the class action and derivative lawsuit brought by shareholder Marcus D. Walker against certain present and former officers and/or directors of the Bank and the Bank as nominal defendant (the "Settlement"). At the conclusion of the hearing, the Court indicated that it would approve the Settlement and enter a formal order and judgment dismissing with prejudice the litigation An action brought in court to enforce a particular right. The Court's final approval and its entry of a judgment dismissing with prejudice the litigation are conditions to the effectiveness of the proposed Settlement and the transactions contemplated thereby. As previously announced, on December 6, 2007 the Bank's shareholders approved a proposal authorizing the Bank to repurchase shares of the Bank's common stock, which approval was also a condition to the effectiveness of the proposed Settlement. Effectiveness of the proposed Settlement and the transactions contemplated thereby remain subject to other conditions, including, but not limited to, the Court's judgment not being reversed or materially modified on appeal.
