FP Technology Announces Merger with AFG Enterprises USA and $50 Million Private Placement Financing.

NEWTON, Mass. -- FP Technology, Inc., an on demand software company specializing in configuration and guided selling solutions, announced the completion of a merger with publicly-held AFG Enterprises USA, Inc. (OTCBB:AFGU).

The transaction was completed by the merger of a wholly-owned subsidiary of AFG Enterprises USA, Inc. with FP Technology, Inc. FP Technology, Inc. remains the surviving corporation and a wholly-owned operating subsidiary of AFG Enterprises USA, Inc.

Also, in connection with the merger, AFG Enterprises USA announced that it closed a $50 million private placement with institutional investors.

The new capital permits the company to fuel growth through acquisitions in the OnDemand business application sector and fund internal expansion. The combined company will be renamed FP Technology, Inc. and is expected to trade under the symbol FPTK.OB. Operations will be conducted as Firepond.

Rodman & Renshaw, LLC acted as the sole placement agent in the transaction. The financing was obtained utilizing Rodman & Renshaw's proprietary CAP(TM) Investment Vehicle designed to capitalize acquisition strategies in growing markets.
