FEDERAL-MOGUL CORPORATION FILES REGISTRATION STATEMENT WITH SECURITIES AND EXCHANGE COMMISSION

 SOUTHFIELD, Mich., Feb. 23 /PRNewswire/ -- Federal-Mogul Corporation (NYSE: FMO) has filed with the Securities and Exchange Commission a registration statement for the offering of 5 million shares of common stock (5,750,000 shares if the underwriters exercise their over- allotment option in full). Of the 5 million shares being offered, 4,250,000 shares will be offered in the United States, and 750,000 shares will be concurrently offered outside the United States. The managers for the offering in the United States will be The First Boston Corporation, Donaldson, Lufkin & Jenrette Securities Corporation and Lehman Brothers. The managers for the international offering will be Credit Suisse First Boston Limited, BHF-BANK, Donaldson, Lufkin & Jenrette Securities Corporation and Lehman Brothers International.
 The net proceeds of the offerings will be used to repay a portion of the $125 million of senior unsecured indebtedness incurred to finance the acquisition by the company of the assets of the automotive aftermarket business from TRW Inc. in October 1992.
 A registration statement relating to these securities has been filed with the Securities and Exchange Commission, but has not yet become effective. These securities may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective.
