, formerly in charge of corporate development, will take on additional duties as Secretary of the Corporation. Ms. Barbara M. Riddle has been voted off of the Board of Directors and relieved of the duties associated with the position as Secretary of the Corporation effective November 9th, 2001. Mr. Stanley will be assuming the Secretary duties until the position is filled during the beginning of 2002. FDNI has recently signed a three way marketing and distribution agreement with Smart Biometrics to market their products which include "fingerprint fingerprint, an impression of the underside of the end of a finger or thumb, used for identification because the arrangement of ridges in any fingerprint is thought to be unique and permanent with each person (no two persons having the same prints have ever been " pass-coded gun safes and a "fingerprint" pass-coded computer key boards. Mr. Matthews said, "With the recent events involving the World Trade Center bombing people have become more conscious of security both in the work place and the home. At home the gun safe will keep the guns secure and only the designated "fingerprint" pass-code will open the safe. In the work place the "fingerprint" pass-code for the computer will secure confidential company files." The fingerprint coding is a patented improvement over the optically read scanners in use today. This fingerprint pass-code has to be a live finger. FDNI expects to set up distributors and marketing reps to serve what it views as the prime targets right now. The targets, as Mr. Matthews sees them, are; banks, school districts, government offices and hospitals. However, there are many small to medium businesses that will want to take advantage of the security offered with Smart Biometrics. FDNI has already scheduled several demonstrations with the identified targets.

Kyle Keogh of Smart Biometrics has commented that he is quite pleased with the new arrangement with FDNI and Adbookplus, Inc., the other entity involved with the three way marketing agreement. Mr. Matthews has added, "We feel that with this agreement FDNI will be able to implement its new direction and diversification plans." FDNI previously was involved with marketing communication products only, this gives them an opportunity to seek other revenues and utilize its contacts in the market places.
