This sale is part of the Company's equity offering that was priced on September 7, 2006 and is at the offering price to the public of $25.80 per common unit. The underwriters had a 30-day option to purchase up to 1,650,000 additional common units. The net proceeds after offering expenses from the sale of 12,650,000 common units in the equity offering will be approximately $320.2 million, including the additional common units sold and a proportionate net capital contribution of $6.4 million from the general partner.
