Entegris Announces $150 Million Share Repurchase; The Company to Immediately Repurchase $100 Million of its Shares in Accelerated Buyback.

Our strong balance sheet and ongoing cash flow provides us with the flexibility to continue to invest in our current business, to take advantage of acquisitions and other strategic opportunities, and to repurchase our shares," said Gideon Argov, president and chief executive officer of Entegris.

The accelerated portion of the share repurchase is comprised of two agreements under which Entegris will immediately pay Goldman Sachs The Goldman Sachs Group, Inc., or simply Goldman Sachs (NYSE: GS) is one of the world's largest global investment banks. Goldman Sachs was founded in 1869, and is headquartered in the Lower Manhattan area of New York City at 85 Broad Street.  $100 million and will receive a substantial majority of the shares to be delivered under the agreements within four weeks. The first agreement, which covers half of the accelerated repurchase amount, includes collar provisions that establish the minimum and maximum numbers of shares. The second agreement, which covers the balance of the accelerated repurchase amount, includes purchase price adjustment provisions. The specific number of shares to be repurchased, and the total purchase price, is generally based on the volume-weighted average share price of the Company's common shares during the six- to twelve-month term of the accelerated repurchase agreements Repurchase agreement

Upon completion of the accelerated share buyback, Entegris intends to repurchase the balance of the $150 million share repurchase authorization from time to time in open market transactions or in privately negotiated transactions in accordance with applicable federal securities laws, which may include repurchase plans under SEC Rule 10b5-1. The timing and amount of the repurchases will be determined by the Company's management based on their evaluation of market conditions, share price and other factors.
