Edmark Adopts Shareholder Rights Plan.REDMOND, Wash.--(BUSINESS WIRE)--Nov. 30, 1995--Edmark Corp. (NASDAQ:EDMK) announced today that its board of directors has adopted a Shareholder Rights Plan. The main purpose of the Plan is to provide the board with the opportunity to consider whether an unsolicited bid for control of the Company is fair to and in the best interest of the Company's shareholders. Sally Narodick, Chairman and Chief Executive Officer, stated, "The Plan should enhance the board's ability to protect shareholder interest if the Company is ever faced with a coercive or unfair takeover. It is not being adopted in response to any existing takeover attempt." The Plan provides for common stock purchase rights to be distributed as a dividend at the rate of one right for each share of common stock held at the close of business on Dec. 15, 1995. Initially, the rights will not be exercisable and will trade with Edmark's common stock. The rights will be exercisable only if a person or group acquires or announces a tender offer or exchange offer for 20 percent or more beneficial ownership of the Company's common stock. The Company will generally be entitled to redeem or amend the rights at any time until the rights become exercisable. The rights will expire at the close of business on Nov. 29, 2005.
