 OF MARION MERRELL DOW STOCK TO FUND CHARITABLE ACTIVITIES
 KANSAS CITY, Mo., Feb. 10 /PRNewswire/ -- Ewing M. Kauffman, chairman emeritus of Marion Merrell Dow Inc. (NYSE: MKC) and founder of the Ewing Marion Kauffman Foundation, and Muriel I. Kauffman today jointly announced the donation of 12,222,454 shares of the common stock of Marion Merrell Dow to separate charitable trusts to fund the programs of their respective philanthropic foundations.
 As a result of this and other transactions, all the various Kauffman charitable and family trusts now hold 19,325,790 shares of Marion Merrell Dow common stock.
 "This action reflects the continuation of an estate planning program initiated by Mr. and Mrs. Kauffman several years ago," said Michael E. Herman, a Kauffman family spokesperson. "It has always been both Ewing and Muriel Kauffman's desire to significantly give back to society from which they both benefitted. The Kauffmans are extremely active in their respective foundations and, by taking these steps, they have been able to help ensure the continuity of the important philanthropic programs they support."
 The Muriel McBrien Kauffman Foundation, of which Mrs. Kauffman is chairperson and Julia Irene Kauffman is president, is a recently formed foundation whose focus is education, health and the arts. Current grants include The Mrs. Ewing M. Kauffman Alzheimers Program at Park Lane Hospital, Kansas City, and The Muriel McBrien Kauffman Endowment Program For The Fine Arts at William Jewell College, Liberty, Mo.
 The Ewing Marion Kauffman Foundation's philanthropic efforts work within the context of human development, placing special emphasis on helping at-risk children and youth become productive members of society as well as stimulating the growth of entrepreneurship in America.
 The Kauffman Foundation directly funds the creation and operation of various programs in its areas of focus. Its programs include Project STAR, a comprehensive drug awareness and prevention program; Project CHOICE, a motivational program that encourages at-risk and minority youth to finish high school by providing them ongoing scholastic support and free post-secondary educations if they meet certain requirements; Project EARLY, which provides prenatal care for expectant mothers and day care for their babies after birth; Project ESSENTIAL, designed to enable students to earn and maintain their own sense of self-respect; and Urban Partners, a program created by the Learning Exchange that joins the business and education communities by providing training, coaching and support for high school principals. Each program is designed to develop individual capacity while, at the same time, building community.
